CALL TO ORDER

Joe Tuss called the meeting to order at 1:03 pm.  Malcolm Treon made a motion to approve the minutes of the January 4, 2008 JEDD Board Meeting, Menker seconded the motion.  Approved unanimously.

APPROVAL OF THE ADMINISTRATIVE AGREEMENT

Jim Percival presented Resolution No. 08-05, A Resolution Providing for the Approval of a Tax Administration Agreement with the City of Clayton Ohio.  The administrative agreement covers the miscellaneous administrative costs incurred by the City of Clayton in the tax collection process.  For example:  postage, envelopes, etc.   The City will document the miscellaneous administrative costs, which the JEDD Board will review and approve prior to payment.  Any payments made will be paid out of the District’s funds prior to the disbursements to Clay Township and the City of Clayton.  Treon moved to approve the Resolution, seconded by Menker.  Approved unanimously.

PRESENTATION OF THE INFRASTRUCTURE UPDATE

Leslie Ostrozny and Greg Merrell, Montgomery County Sanitary Engineering Department, gave a presentation on the Clay Township Water Main Project 130065-04.  The plan calls for approximately 5,700 linear feet of 12” DI water main beginning at the intersection of Diamond Mill and US 40, extending west along US 40 to Wellbaum Road.  The estimated cost is $450,000.  The project will be advertised in February, with an anticipated Authorize Construction/Notice to Proceed at the end of April.  The project is estimated to take six months to complete.  Menker questioned if there will be a water tower?  Merrell responded that currently there is not enough demand to sustain a water tower.  However, if and when the time warrants they are looking at the intersection of Wellbaum and US 40.  The new line will tap into the Clayton water line, and will eventually loop into Brookville.  Billing for new water customers will be handled by Montgomery County.  Treon asked why the water line is north of current businesses.  Tuss indicated the line is designed for future development, but eventually a line will be installed to tap in current businesses.  

PRESENTATION OF THE PROPOSED BUDGET

Jim Percival and Kevin Schweitzer presented the budget.   The board does not currently have liability insurance.  The board received a one-year quote from Brower Insurance Co. in the amount of $3,420.00.  Percival moved to amend the budget and take this amount out of Contract Services-Administration.  Menker made a motion to authorize payment to Brower Insurance Co. in the amount of $3,420, Kniess seconded.  Approved unanimously.   Menker then moved to approve the amended budget, Kniess seconded.  Approved unanimously.

GENERAL DISCUSSION

Mr. Kniess requested future documents for discussion at JEDD Board Meetings be sent via e-mail three days prior to the meeting so they can be reviewed.  He also requested a courtesy copy to Bill Watt.  Malcolm Treon speaking for the business owners asked what happens if I elect to be in the JEDD, but my neighbor does not?  What do I get that they don’t?  Tuss responded if grant money is obtained by the JEDD, any benefit would only be given to those businesses and property owners who are members of the JEDD.  Treon then asked if a business owner is not in the JEDD does he have a standing?  Tuss responded yes, the JEDD Board Meetings are an open forum.  Treon asked that if I am a member of the JEDD, can I drop out?  Tuss responded no.  Treon then asked if I’m not a member, can I now join?  Tuss responded yes.  However, they must repeat the same process as when the JEDD was originally formed, petitions, signatures, etc.  A citizen questioned if the JEDD Board should be recruiting members?  Tuss responded the board is currently working on development issues and does not have time to spend on recruitment at this point.  A citizen questioned if we should limit new applicants?  Tuss responded that there is no applicant activity at this time.  Jim Percival announced this was his last JEDD meeting.  Jim accepted the City Manager position in the City of Xenia.  A new representative for the City of Clayton will be announced at the next JEDD meeting.

Jim Percival moved to adjourn, approved unanimously.  Meeting adjourned at 2:21 pm.
